Thank you for using our service. By using or signing up to use our service, websites, and software applications or accessing any content or material that is made available by indii through the service you are entering into a binding contract with indii. 

Your agreements with us include both these terms of service and use and our privacy policy. You acknowledge that you have reviewed, understand and accept these agreements, and agree to be bound by them. If you don’t agree or cannot comply with the agreements, then you may not use our service or use any content therein.

In order to use our service and access the content, you must to be: 

• Over 18, or be 13 or older and have your parent or guardian’s consent to the agreements. Have the power to enter a binding contract with us and not be barred from doing so under any applicable laws.

• A resident of a country where the service is available.

• Certain that any registration information you submit is true, accurate, and complete, and kept up to date.

Use of our service signifies your agreement to these agreements. All music content on our service is copyright protected, and licenced. Applications for extended licence i.e. use of any content outside of these terms may be made by visiting the contact section of our website.

1. Changes to the Agreements.

Occasionally we may, make changes to the agreements. When we make material changes we’ll provide you with prominent notice or by sending you an email. In some cases we will notify you in advance so your continued use of the service after the changes have been made will constitute your acceptance of the changes. Please make sure you read any such notice carefully. If you do not wish to continue using the service under a new version of the agreements, delete the application from your device.

2. Services.

Indii mobile application: A free download providing: 

• Unregistered users: Complimentary access to music video previews, artist’s dialogue and artist’s event dates.

• Registered users: A secure user account, play list creation and access to full length music videos and downloads subject to in app purchases.

Indii Artist dashboard: A complimentary online account based resource for musicians on the indii mobile application providing:

• Media creation and integration management. 

• Access to commission based income with financial reporting.

3. Rights we grant you.

The service and content of our mobile application and artist dashboard are the property of indii or indii's licensors. 

We grant users of our mobile application a limited, non-exclusive, revocable licence to use our service and a limited non-exclusive revocable licence to make personal, non-commercial, entertainment use of the content, this licence shall remain in effect until and unless terminated by you or indii. You agree that you are using the content for your own personal, non-commercial entertainment use and that you will not redistribute or transfer the service or any copyright content.

We grant users of our artist’s dashboard a limited, non-exclusive, revocable licence to use our service solely to facilitate their presence on the indii mobile application, this licence shall remain in effect until and unless terminated by you or indii.

The applications, the content and any media created by indii are licensed and not sold to you, indii and its licensors retain ownership of all copies of the indii software applications and content even after installation on your personal devices. 

All indii trademarks, service marks, trade names, logos, domain names, created media and any other features of the indii brand are the sole property of indii or its licensors. The agreements do not grant you any rights to use any indii brand features whether for commercial or non-commercial use without consent.

You agree not to use the indii service, the content, or any part thereof in any manner not expressly permitted by this agreements. Except for the rights expressly granted to you in these agreements, indii grants no right, title, or interest to you in the indii service.

4. Rights you grant us.

In consideration for the rights granted to you under the agreements, you grant us: 

• The right to allow the service to use the processor, bandwidth, and storage hardware on your device in order to facilitate the operation of the service. 

• The perpetual licence to commercially use any uploaded and incorporated audio or visual media.                                          We will make all reasonable efforts to keep the indii service operational, however, certain technical difficulties or maintenance may, from time to time, result in temporary interruptions. indii reserves the right, periodically and at any time, to modify or discontinue, temporarily or permanently, the functions and features of the indii service, with or without notice, all without liability to you, except where prohibited by law, for any interruption, modification, or discontinuation of the service or any function or feature thereof. You understand, agree, and accept that indii has no obligation to maintain, support, upgrade, or update the service, or to provide all or any specific content through the service. indii and/or the owners of any content may, from time to time, remove any such content without notice.

5. Applications user guidelines.

    Mobile application description.

The indii mobile application provides unregistered users with complimentary access to music preview videos, artist images, artist dialogue and event dates, with image capture during video streams enabling users to share, create social media posts or save. The application also offers ‘In App purchases’ to access to EP’s and their content including full length music videos, playlist creation, and offline audio playback. All musical content is the subject of copyright and licence. 

    Mobile application accounts.

Registered accounts enable in app purchases to be stored and accessed to stream EP's and their content, create playlists and access offline audio playback.

When you register an account we will ask you for your email address and your choice of a username and password for your account. You must ensure that the email address that you provide is, and remains, valid. Your email address and all information you provide will be treated in accordance with our privacy policy. You are solely responsible for maintaining the confidentiality and security of your username and password, and you will remain responsible for all use of your username and password, and all activity emanating from your account, whether or not such activity was authorized by you.

If your username or password is forgotten or lost, you should reset your password in ‘Settings’ on the application. If your username or password is stolen or if you believe that your account has been accessed by unauthorized third parties, you are advised to notify indii in writing, and reset your password in ‘Settings’ on the application at the earliest possible opportunity.

We reserve the right to disallow, cancel, remove or reassign certain usernames and permalinks in appropriate circumstances, as determined by us in our sole discretion, and may, with or without prior notice, suspend or terminate your account if activities occur on that account which, in our sole discretion, would or might constitute a violation of this agreement or an infringement or violation of the rights of any third party, or of any applicable laws or regulations.

Artist dashboard description.

The indii artist dashboard is a complimentary resource available for artists or their agents manage the content presented in their profile on our mobile application. The dashboard includes the on line generation of the Artist icon, images suitable for Social Media posts, preview and full length music videos, editing for editorial and diary events, media for live events.

The Users dashboard also enables the allocation of ISRC codes and creation of EP's for our mobile platform which a user may purchase access to as an 'In App Purchase'. Income from these purchases are subject to our current commission charge of 15% of Gross and are reported 30 days after the close of the accounting period used by the host company, financials are available on the user's dashboard within 15 days of receipt of our host's report and net balances are subsequently transferred direct to a nominated bank account via BACS  within 30 days of receipt from our host.   

We may, from time to time, release new tools and resources to both of these platforms, new versions, or introduce other services and/or features for the service. Any new services and features will be subject to these agreements as well as any additional terms that we may release for those specific services or features.

    Artist dashboard accounts. 

When you sign up for an artist dashboard account we will ask you for your name, email address and your artistic name, after submission you will receive via email, your account username and password. You must ensure that the email address that you provide is, and remains, valid. All information you provide will be treated in accordance with our privacy policy. You are solely responsible for maintaining the confidentiality and security of your username and password, and you will remain responsible for all use of your username and password, and all activity emanating from your account, whether or not such activity was authorized by you.

If your username or password is stolen or if you believe that your account has been accessed by unauthorized third parties, you are advised to notify indii immediately, and reset your password in the account login screen at the earliest possible opportunity.

ISRC song allocation is provided for the protection of a composition's copyright holder, any allocated codes remain as 'Provisional' until the copyright holder has registered the composition and the code with their Copyright Protection Agency to monitor and collect royalties from i.e. broadcast etc. indii is registered with PPL UK, our ISRC codes have the opening identifier UK K4F and our PPL Ref is: 0300936146. 

    The following is not permitted for any reason whatsoever:

1) Copying, redistributing, reproducing, “ripping”, recording, transferring, performing or displaying to the public, broadcasting, or making available to the public any part of the service or the content, or otherwise making any use of the service or the content which is not expressly permitted under the agreements or applicable law or which otherwise infringes the intellectual property rights in the service or the content or any part of it.

2) Transferring copies of cached content from an authorized device to any other device via any means.

3) Reverse-engineering, decompiling, disassembling, modifying, or creating derivative works based on the service,      content or any part thereof unless permitted by applicable law.

4) Circumventing any technology used by indii, its licensors, or any third party to protect the content or the service.

5) Selling, renting, sublicensing or leasing of any part of the service or the content.

6) Circumventing any territorial restrictions applied by indii or it licensors.

7) Manipulating the service by using a script or other automated process.

8) Removing or altering any copyright, trademark, or other intellectual property notices contained on or provided through the service.

9) Providing your password to any other person or using any other person’s username and password.

10) “Crawling” the service or otherwise using any automated means (including bots, scrapers, and spiders) to collect information from indii. 

11) Selling a user account or playlist, or otherwise accepting any compensation, financial or otherwise, to influence the name of an account or playlist or the content included on an account or playlist.

6. Mobile and dashboard user support.

For support with account related questions and support regarding content and licence issues please use the appropriate customer service form on the contact us section of our website. We will endeavour to respond to customer support queries within a reasonable time frame but we make no guarantees or warranties that we will be able to satisfactorily answer any such queries.

7. Term and termination.

The Agreements will continue to apply to you until terminated by either you or indii. Indii may terminate the Agreements or suspend your access to the service at any time, including in the event of your actual or suspected unauthorised use of the service and/or content, or non-compliance with the agreements. If you or indii terminate the Agreements, or if indii suspends your access to the indii Service, you agree that indii shall have no liability or responsibility to you and indii will not refund any amounts you have paid. 8. Warranty and disclaimer. 

We endeavour to provide the best service we can, but you understand and agree that the service is provided “as is” and “as available”, without express or implied warranty or condition of any kind. you use the indii service at your own risk. All owners of the content make no representations and disclaim any warranties or conditions of satisfactory quality, merchant-ability, fitness for a particular purpose, or non-infringement. neither indii, nor any owner of content warrants that the service is free of malware or other harmful components. in addition. You understand and agree that indii is not responsible or liable for the accuracy, opinions and content of any content. You understand and agree that indii is not responsible or liable for any transaction between you and third party providers of third party applications or products or services that may be advertised on or through the indii service. As with any purchase of a product or service through any medium or in any environment, you should use your judgment and exercise caution where appropriate. no advice or information whether oral or in writing obtained by you from indii shall create any warranty on behalf of indii in this regard. some aspects of this section may not apply in some jurisdictions if prohibited by applicable law.

This does not affect your statutory rights as a consumer.

9. Limitation.

You agree that, to the extent permitted by applicable law, your sole and exclusive remedy for any problems or dissatisfaction with the service is to uninstall any software and to stop using the service. while indii accepts no responsibility for third party applications or the content thereof, and while your relationship with such third part applications may be governed by separate agreements with such third parties, your sole and exclusive remedy, as with respect to indii, for any problems or dissatisfaction with third party applications or the content thereof, is to uninstall and/or stop using any such third party applications.

In no event will indii, its officers, shareholders, employees, agents, directors, subsidiaries, affiliates, successors assigns, suppliers, or licensors be liable for any indirect special, incidental, punitive, exemplary, or consequential damages. 

Any loss of use, data, business, or profits (whether direct or indirect), in all cases arising out of the use or inability to use the indii service, third party applications, or third party application content, regardless of legal theory, without regard to whether indii has been warned of the possibility of those damages, and even if a remedy fails of its essential purpose. The aggregate liability for all claims relating to the indii service, third party applications, or third party application content more than the amounts paid by you to indii during the prior twelve months in question, to the extent permissible by applicable law. 

10. Assignment.

indii may assign the agreements or any part of them, and indii may delegate any of its obligations under the agreements. You may not assign the Agreements or any part of them, nor transfer or sub-license your rights under the agreements, to any third party.

11 Indemnity.

You agree to indemnify and hold indii harmless from and against all damages, losses, and expenses of any kind including reasonable legal fees and costs arising out of: 

• Your breach of this Agreement.

• Any Content.

• Any activity in which you engage on or through the service.

• Your violation of any law or the rights of a third party.

12 Governing Law / Jurisdiction.

Unless otherwise required by a mandatory law of a member state of the European Union or any other jurisdiction, the Agreements and any non-contractual disputes/claims arising out of or in connection with them, are subject to the laws of the England, without regard to choice or conflicts of law principles.
